Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you (the developer, business, or other entity accessing the Services — “you”) and Temlio Communications Limited (RC1575783), a company incorporated in the Federal Republic of Nigeria with its registered office at 6, Olatunde Sanni Crescent, Mende Maryland, Lagos, Nigeria (“Voicebip”, “we”, “us”). They govern your access to and use of the Voicebip platform, REST API, dashboard, MCP server, and SDKs (together, the “Services”).

By creating an account, generating an API key, or otherwise using the Services, you agree to these Terms. If you are agreeing on behalf of an organization, you represent that you have authority to bind that organization.

1. Definitions

  • “Agent” — an AI configuration you create on Voicebip that can place or receive calls and messages.
  • “End User” — any individual who interacts with your Agent (e.g. a caller or message recipient).
  • “Content” — call audio, recordings, transcripts, message bodies, prompts, and other data you or your End Users submit to or generate through the Services.
  • “Live Key” — an API key prefixed pk_live_. “Test Key” — a key prefixed pk_test_ that routes to sandbox mode at no charge.

2. Accounts and API keys

2.1 You must provide accurate account information and keep it current.

2.2 API keys authenticate access to your workspace. You are responsible for safeguarding your keys and for all activity under them. Never embed Live Keys in client-side code or public repositories. Rotate or revoke keys you believe to be compromised via the dashboard or API.

2.3 You are responsible for all use of the Services within your workspace, including by your team members and any application you build on top of the Services.

3. Acceptable use

You agree not to use the Services to, and not to permit any End User or application to:

3.1 Violate telecommunications law or regulation, including the Nigerian Communications Commission (NCC) rules and any applicable Do-Not-Disturb (DND) / Do-Not-Call requirements of the relevant mobile network operator.

3.2 Send unsolicited bulk or automated calls or messages (spam, unlawful robocalls, SMS blasting) without a lawful basis and the recipient’s consent.

3.3 Place calls or send messages outside permitted calling windows. Agents enforce a configurable window (default 08:00–20:00 Africa/Lagos); attempting to call outside it returns 422 CALL_WINDOW_RESTRICTED. You must not circumvent these controls.

3.4 Impersonate any person or entity, spoof caller identity unlawfully, or engage in fraud, phishing, or social engineering.

3.5 Transmit unlawful, harmful, or infringing Content, or use the Services to harass, threaten, or harm others.

3.6 Reverse engineer, resell, or build a competing carrier or messaging aggregation service from the Services, except as permitted by law.

3.7 Record or intercept communications without all legally required consents (see the Privacy Policy and Section 5.4).

We may suspend or terminate access for violations of this Section, and may be legally required to report certain activity to the NCC or other authorities.

4. Fees, billing, and top-ups

4.1 Prepaid balance. Voicebip operates on a prepaid model. You fund your workspace balance via Paystack (NGN) or Stripe (USD). Billable usage (voice minutes, SMS, WhatsApp, AI) is metered and debited against your balance.

4.2 Fail-closed enforcement. When your balance is low we notify you; when it reaches zero your workspace is blocked and billable use (inbound/outbound voice and messaging) is refused until you top up. Top-ups that clear a zero balance restore service.

4.3 Plans. Subscription tiers (starter, builder, scale) include monthly usage allowances. You may change tiers mid-period; charges and refunds are prorated. Pay-as-you-go usage beyond included allowances is charged at the rates published in your dashboard.

4.4 Taxes. Fees are exclusive of applicable taxes, levies, and duties, which are your responsibility unless we are required to collect them.

4.5 Changes to pricing. We may change rates with notice; rate changes take effect prospectively.

5. Telephony, messaging, and AI terms

5.1 Numbers. Phone numbers provisioned to you remain the property of Voicebip and the underlying carrier. Numbers released or reclaimed for non-payment may enter a quarantine period before reassignment. You have no ownership right in any number.

5.2 Network dependence. Voice and messaging delivery depends on third-party mobile network operators (MTN, Glo, Airtel, 9mobile) and other carriers. We do not guarantee delivery, latency, or call quality on networks outside our control.

5.3 AI output. Where you use Voicebip-hosted AI or your own model (“BYOM”), AI-generated responses are provided “as is.” You are responsible for the suitability, accuracy, and legality of your Agent’s behavior and outputs. For BYOM, you are responsible for the model endpoint you configure and the Content it returns.

5.4 Call recording. If you enable recording, you are the controller of those recordings and are responsible for providing any notice and obtaining any consent required by law before recording an End User.

6. Service availability and support

We aim to provide reliable Services but do not warrant uninterrupted or error-free operation. Any service levels, maintenance windows, or support commitments are as described in your plan or a separate written agreement; formal service-level agreements are not offered at this time.

7. Intellectual property

7.1 We and our licensors own all rights in the Services, including software, documentation, and trademarks. We grant you a limited, non-exclusive, non-transferable right to access and use the Services under these Terms.

7.2 Your Content. You retain all rights in your Content. You grant us a limited license to host, process, and transmit your Content solely to provide and improve the Services and as described in the Privacy Policy.

7.3 Feedback. If you give us feedback, we may use it without restriction or obligation.

8. Data protection

Our processing of personal data is described in the Privacy Policy. Where you process personal data of End Users through the Services, you act as the data controller and Voicebip acts as a data processor / sub-processor under our Data Processing Agreement, which is incorporated into these Terms by reference.

9. Confidentiality

Each party may receive non-public information of the other. The receiving party will protect it with reasonable care and use it only to exercise rights and meet obligations under these Terms.

10. Disclaimers

EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY.

12. Indemnification

You will defend and indemnify Voicebip against third-party claims arising from your Content, your Agents, your use of the Services, or your breach of these Terms or applicable law, including telecommunications and data-protection law.

13. Term and termination

13.1 These Terms apply while you use the Services.

13.2 We may suspend or terminate your access for breach, non-payment, legal requirement, or risk to the Services or other users. You may stop using the Services and close your account at any time.

13.3 On termination, your right to use the Services ends. Certain provisions (fees accrued, IP, confidentiality, disclaimers, liability, indemnity, governing law) survive. Data handling on termination is described in the Privacy Policy.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the dashboard or by email. Continued use after the effective date of a change constitutes acceptance.

15. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts of Lagos State, Nigeria, except that either party may seek injunctive relief in any competent court.
